PDAL, voluntary liquidation or bankruptcy: the differences

All three end a company, but not in the same way or for the same reasons. Here is a simple table to find your bearings.

At a glance

  • PDAL. Automatic dissolution, with no liquidator, for a company with no assets and no employees that shows serious breaches. At the initiative of the public prosecutor.
  • Voluntary liquidation. Decided by the shareholders, with a liquidator who settles assets and liabilities. For a company that can pay its debts.
  • Bankruptcy. Declared by the court when the company has stopped paying its debts. A trustee is appointed.

How to choose

  • The company has nothing left and accumulates breaches: PDAL is a risk. Act within the deadline.
  • The company is sound and you want to close it: voluntary liquidation.
  • The company can no longer pay its debts: bankruptcy, with a lawyer.

Do not confuse them

A company under PDAL is not bankrupt, and a company in payment difficulty falls under another procedure. To choose, a lawyer reviews the situation. Write to us if you want help preparing the file.
