Compliance catch-up

Putting a company in order against a PDAL

PDAL relies on specific breaches. Answering them one by one supports your file and makes the company usable again. Here is the working list, step by step.

Why put the company in order

The breaches the procedure relies on are, for example, no registered office, no manager and a failure to file accounts. Correcting them answers those grievances. Whether the procedure stops remains a decision for the prosecutor or the judge, which no website can promise.

The working list

  • Registered office. A domiciliation contract with a lawyer or fiduciary who provides domiciliation.
  • Officer. Appoint a manager or director in office, then have the appointment registered.
  • Annual accounts. Prepare and file the accounts for the missing years, with an accountant.
  • Meetings. Hold or regularise the general meetings that approve the accounts.
  • Beneficial owners. Update the RBE register.
  • Evidence. Gather proof of assets, activity or employees, where relevant.

What we do

  • Diagnosis of the register publications and your documents.
  • An action plan ranked by priority, with dates.
  • Preparation of meetings and documents.
  • Coordination of the accountant, lawyer, fiduciary and notary.

What the professionals do

Regulated acts are carried out by authorised professionals: domiciliation by a lawyer or fiduciary, accounts by an accountant, notarial deeds by a notary, appeals by a lawyer. See the introductions.

In which order

Urgency sets the order. If a PDAL is open, the appeal deadline comes first. Otherwise start with the registered office and the officer, because without them nothing can be filed or signed.

Frequently asked questions

Does putting it in order stop the PDAL?

Not automatically. The procedure stops if the prosecutor or the judge finds that the conditions are not met. Regularising answers the grievances but does not replace an appeal within the deadline.

How long does it take?

It depends on the number of missing years and on the availability of documents. After the diagnosis, we give a realistic calendar.

Can it be done before any PDAL?

Yes, and it is better. A company with no office, no officer and no filed accounts is exposed to the procedure.
