The procedure calendar

Source of the deadlines: Guichet.lu. They are indicative and do not replace the text of the law.

Step	Deadline	What happens
Public prosecutor's request	Starting point	The prosecutor asks the RCS manager to open the procedure.
Opening at the RCS	Within 3 days of the request	The manager of the trade register opens the procedure.
Notification and publication	Within 3 days of the opening	Registered letter to the company's registered office and publication in two Luxembourg newspapers.
Checks	1 month to reply	Banks, insurers, mortgage offices, the Land Registry and social security answer on assets and employees.
Prosecutor's decision	After the checks	They ask either to stop or to continue the procedure.
Appeal	1 month after publication	Appeal by the company or an interested third party, in summary proceedings before the president of the commercial chamber.
Closure	6 months at most after publication	The closure is published at the RESA and the company is dissolved.

How to read the table

• The first three days belong to the administration: nothing can be done there.
• Your deadline starts at the publication of the opening. Note the publication date, not the date of the letter.
• The one-month appeal and the six-month closure period run in parallel.
• Once the closure is declared, the company is dissolved.
