FAQ

Questions about PDAL

Short answers on the procedure, the deadlines, our role and our limits.

What is a PDAL?

It is the administrative dissolution procedure without liquidation, created by the law of 28 October 2022. It allows the automatic dissolution of a commercial company with no assets and no employees that shows serious breaches.

How long do we have to react?

An appeal against the opening decision must be brought within one month of its publication, according to Guichet.lu. The closure can be declared at the latest six months after that publication.

Is my company targeted?

The trade register publications will tell you. If you no longer have an office or nobody collects the mail, you may not know. We help you find and read the publications.

Can you represent me in court?

No. An appeal is heard in summary proceedings and needs a lawyer. We prepare the file and introduce a lawyer.

Can you domicile my company?

No. Domiciliation is provided by a lawyer or a fiduciary, whom we introduce.

Does putting the company in order stop the procedure?

Not automatically. Whether it stops depends on the decision of the prosecutor or the judge. Regularising answers the breaches but does not replace an appeal within the deadline.

How are you paid?

By fees agreed in advance for the analysis and organisation of the file. We may also receive a fee from a professional we introduce, and we tell you before any introduction.

I am a shareholder abroad, can I act remotely?

Largely yes. A lawyer acts for you in Luxembourg and we coordinate the file. Some acts require a signature before a notary.
