Warning signs that a company is exposed to PDAL
A company is rarely targeted by surprise. Here are the warning signals, and what can be corrected before it is too late.
The warning signals
- No registered office: the domiciliation contract ended and nobody replaced it.
- No officer: the manager or director left, died or cannot be reached.
- No accounts filed for one or more years.
- No general meeting held.
- No active bank account, no employees, no assets.
- Register letters left unanswered.
Why these signals matter
PDAL assumes a company with no assets and no employees that shows serious breaches. Several signals together draw that profile.
What you can correct
Restore an office, appoint an officer, file the accounts and hold the meetings. See putting the company in order.
Frequently asked questions
Is a dormant company exposed?
If it has no assets and no employees and accumulates breaches, yes. A dormant company that is in order is much less so.
Is a group company owned from abroad concerned?
If it is a Luxembourg commercial company with no assets and no employees, it can be. Regulated financial companies are excluded.
